1. Definitions

In these Terms and Conditions, the following terms have the meanings assigned to them:

• "Agreement" means these Terms and Conditions together with any applicable Statement of Work or engagement letter.
• "Service" means the AI process automation consulting and implementation services provided by Kynapse.
• "Client" / "You" means the organisation or individual accessing our website or engaging our Services.
• "We" / "Us" / "Kynapse" refers to Kynapse, a company incorporated and operating in Malaysia.
• "Content" means all materials, reports, process maps, and documentation produced in the course of Services.
• "Website" refers to kynapse.cyou and related pages.

2. Acceptance of Terms

By accessing our Website or engaging our Services, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions. If you are acting on behalf of an organisation, you represent that you have authority to bind that organisation to this Agreement. Use of our Website or Services is restricted to individuals and organisations who are 18 years of age or older and legally capable of entering binding agreements under Malaysian law.

3. Service Description

Kynapse provides professional AI process automation services to business organisations, including workflow intelligence assessments, intelligent document processing implementations, and decision support automation systems. Specific deliverables, timelines, and pricing for each engagement are defined in a separate Statement of Work agreed prior to commencement. Service availability is subject to geographic scope as communicated during scoping discussions.

4. Enquiries and Website Use

Use of our Website is for information purposes and to submit enquiries regarding our Services. You agree not to use the Website in any manner that disrupts its operation, infringes third-party rights, or violates applicable law. Submission of an enquiry form does not constitute a contractual commitment by either party.

5. User Responsibilities

When engaging Kynapse Services, you agree to:

• Provide accurate information relevant to the scoping and delivery of Services
• Make available the access, personnel, and resources reasonably necessary for engagement delivery
• Notify us promptly of any changes that materially affect the agreed scope
• Use deliverables only for lawful purposes within your own organisation
• Not reverse-engineer, reproduce, or commercialise Kynapse methodologies or proprietary approaches without written consent

6. Intellectual Property

Kynapse IP

All methodologies, frameworks, scoring approaches, and pre-existing tools used in the delivery of Services remain the intellectual property of Kynapse. You are granted a limited, non-exclusive, non-transferable licence to use deliverables produced specifically for your engagement within your own organisation.

Client Materials

Documents, data, and operational information provided by you for the purposes of an engagement remain your property. We will not use such materials beyond the scope of the relevant engagement without your written consent.

Website Content

All content on the Kynapse Website is protected by applicable intellectual property law. You may not reproduce, distribute, or modify Website content without prior written permission.

7. Payment Terms

All fees are quoted in Malaysian Ringgit (MYR) and are subject to the payment terms stated in the relevant Statement of Work. Invoices are payable within 14 calendar days of issuance unless otherwise agreed. Late payments may attract interest at a rate of 1.5% per month on the outstanding amount. All fees are exclusive of any applicable taxes or government levies.

Scope Changes

Any change in project scope requested by the Client will be assessed and, if agreed, formalised in a written change order with any associated cost adjustment agreed before work proceeds.

8. Disclaimers

Kynapse Services are provided on a professional basis with reasonable care and skill. However, we do not warrant that automation systems will be error-free or operate without interruption. Outcomes achieved following implementation depend on your operational context, the quality of data provided, and actions taken by your team. We do not make representations about specific operational or financial outcomes achievable through automation.

9. Limitation of Liability

To the fullest extent permitted by Malaysian law, Kynapse's total liability arising from or in connection with any engagement shall not exceed the fees paid by you for the relevant engagement in the preceding 12 months. We shall not be liable for indirect, consequential, or special damages, including loss of profit, data, or business opportunity, whether arising in contract, tort, or otherwise.

10. Indemnification

You agree to indemnify and hold Kynapse harmless from any claims, losses, or expenses — including reasonable legal costs — arising from your breach of this Agreement, your misuse of deliverables, or your violation of applicable law in connection with the use of our Services.

11. Termination

Either party may terminate a Service engagement with written notice if the other party commits a material breach that is not remedied within 14 days of written notice of that breach. Upon termination, you will pay for work completed to the date of termination. Sections 6, 8, 9, and 13 of this Agreement survive termination.

12. Confidentiality

Each party agrees to keep confidential the other's non-public business information disclosed in the course of an engagement. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law. Confidentiality obligations apply for 3 years after the conclusion of an engagement unless otherwise agreed in writing.

13. Dispute Resolution

These Terms are governed by the laws of Malaysia. In the event of a dispute, the parties agree to first attempt resolution through good-faith negotiation within 30 days of written notice. If unresolved, disputes shall be submitted to the exclusive jurisdiction of the courts of Malaysia, seated in Kuala Lumpur.

14. General Provisions

• Entire Agreement: This Agreement, together with any applicable Statement of Work, constitutes the entire agreement between the parties regarding its subject matter.
• Severability: If any provision of this Agreement is found unenforceable, the remaining provisions continue in full force.
• Waiver: Failure to enforce any right does not constitute a waiver of that right.
• Assignment: You may not assign your rights under this Agreement without our prior written consent.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted on this page with an updated "Last Updated" date. For ongoing service engagements, material changes to Terms will be communicated in writing and will not apply retroactively to existing Statements of Work.
